Bardium is operated by Serkan Musellim, an individual sole proprietor based in Turkey ("Bardium," "we," "us," or "our"). We provide the Bardium mobile application, any related website(s), and the content, tools, features, and technology offered through them (collectively, the "Service"). All access to and use of the Service is subject to these Terms of Service (as amended from time to time, these "Terms"). By accessing, browsing, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not accept these Terms, you may not access or use the Service.
We reserve the right, at our sole discretion, to change or modify portions of these Terms at any time. If we do, we will indicate the date at the top of this document and, for material changes, notify you through the Service, a notice, email, or other reasonable means. Your continued use of the Service after changes become effective constitutes your acceptance of the new Terms.
PLEASE READ THESE TERMS CAREFULLY, AS THEY CONTAIN AN AGREEMENT TO ARBITRATE AND OTHER IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS. THE AGREEMENT TO ARBITRATE REQUIRES (WITH LIMITED EXCEPTION) THAT YOU SUBMIT CLAIMS YOU HAVE AGAINST US TO BINDING AND FINAL ARBITRATION ON AN INDIVIDUAL BASIS, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION.
Your privacy: We respect the privacy of our users. For more information, please see our Privacy Policy (the "Privacy Policy"). By using the Service, you consent to our collection, use, and disclosure of personal data as outlined therein.
Service description: The Service processes input you provide — including electronic books (such as EPUB files), text, reference audio, images, and other materials (collectively, "Submissions") — and uses artificial intelligence to generate audio and visual output, such as AI-generated music tracks and ambient scene imagery, based on those Submissions ("Output," and together with the Submissions, "Content").
It is very important that you only upload Submissions that you have the rights to use. By uploading any Submission, you represent and warrant that:
Your registration obligations: You may be required to register or provide information about yourself (e.g., name and email) to access certain features. You agree to provide and maintain true, accurate, current, and complete information. You must be at least 13 years old to use the Service. If you are under 18, you may use the Service only with the express consent of your parent or guardian. We may, but are not obligated to, provide a free tier; you may not create more than one account to benefit from the free tier.
Member account, password, and security: You are responsible for maintaining the confidentiality of your password and account, and you are fully responsible for all activities that occur under your account. You agree to immediately notify Bardium of any unauthorized use of your account or any other breach of security. Bardium will not be liable for any loss arising from your failure to comply with this section.
Modifications to Service: Bardium reserves the right to modify, suspend, or discontinue, temporarily or permanently, the Service (or any part of it) with or without notice. You agree that Bardium will not be liable to you or any third party for any such modification, suspension, or discontinuance.
General practices regarding use and storage: You acknowledge that Bardium may establish general practices and limits concerning use of the Service, including data-retention periods and storage limits, and may terminate accounts (and their corresponding Content) that are inactive for an extended period. We may change these practices at any time, with or without notice.
You are solely responsible for any use of the Service and all Submissions you make available, and for any Output you generate. You assume all risk associated with your Submissions and have sole responsibility for their accuracy, quality, legality, and appropriateness. In no event will you use the Output to compete with Bardium, including to create a competing product or service. You agree not to use the Service to:
Bardium reserves the right (but is not obligated) to investigate and take appropriate legal action against anyone who, in Bardium's sole discretion, violates this provision, including removing offending content, suspending or terminating accounts, and reporting violators to law-enforcement authorities. If you are blocked from accessing the Service, you agree not to implement any measures to circumvent such blocking.
Fees: To the extent the Service or any portion of it is made available for a fee, you may be required to select a payment plan and provide payment information. You represent that such information is true and that you are authorized to use the payment method. You agree to pay Bardium the amount specified in the applicable plan. We reserve the right to change prices; if we do, we will provide notice through the Service or other reasonable means at least fifteen (15) days before the change takes effect. Your continued use after the change constitutes your agreement to the changed amount. You are responsible for all taxes associated with the Service other than taxes based on Bardium's net income.
Subscription renewals and cancellations: If you purchase a subscription, it will automatically renew at the frequency referenced on your subscription page (or, if not designated, monthly) at the then-current rates, and your payment method will be charged at the start of each new period. To avoid future charges, you must cancel before the renewal date through the applicable account interface (including the Apple App Store or Google Play, where the purchase was made) or by contacting us at [email protected]. Following cancellation, you will continue to have access to the paid Service through the end of the period for which payment has already been made.
Payment processing: Purchases made through the Apple App Store or Google Play are processed by Apple or Google and are subject to their respective terms and policies. Where payments are processed by a third-party payment processor, those services are subject to that processor's terms and privacy policy. Bardium assumes no liability or responsibility for any payments you make through such processors.
Refunds and cancellations: Except where required by applicable law or the policies of the applicable app store, payments made by you are final and non-refundable unless otherwise determined by Bardium.
Commercial use: Subject to the Intellectual Property Rights section below, unless otherwise expressly authorized, you agree not to display, distribute, license, sell, resell, transfer, or otherwise commercially exploit any portion of the Service for any commercial purpose.
You are responsible for providing the mobile device, service plan, software, and internet connection needed to download, install, and use the app. We do not guarantee that the app can be accessed on any particular device or in any particular geographic location. As part of the Service, you may receive push notifications, alerts, emails, or other messages ("Push Messages"). Your wireless provider may charge you fees for data in connection with Push Messages. You can control Push Messages through the Service or your device's operating-system settings (with the possible exception of infrequent, important service announcements).
Apple App Store: If you obtained the app from Apple's App Store, you acknowledge that these Terms are between you and Bardium, not Apple, and that Apple has no responsibility for the app or its content. Apple has no obligation to furnish maintenance or support for the app. In the event of any failure of the app to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app. Apple is not responsible for addressing any claims relating to the app, including product-liability, legal/regulatory, or intellectual-property claims. You and Bardium acknowledge that Apple and its subsidiaries are third-party beneficiaries of these Terms as they relate to your use of the app, and Apple will have the right to enforce these Terms against you as a third-party beneficiary.
Service Content: The Service may contain content or features ("Service Content") protected by copyright, patent, trademark, trade secret, or other proprietary rights. Except as expressly authorized, you agree not to modify, copy, scrape, rent, sell, distribute, or create derivative works based on the Service or Service Content, in whole or in part — except for Content that you upload to or make available through the Service in accordance with these Terms.
Trademarks: The Bardium name and logos are trademarks of Bardium. Nothing in these Terms grants you any right to use them without our prior written permission.
Your Content license: You represent and warrant that you own or have all necessary rights to your Submissions. You retain all ownership of your Submissions. By using the Service or transmitting Submissions to us, you grant Bardium only a limited, worldwide, non-exclusive, royalty-free license to process, reproduce, and transmit your Submissions — and to store them only where and for as long as necessary — solely to operate the Service and to generate and deliver your Output to you. In particular, book files you upload (such as EPUB files) are processed only transiently to generate your Output and are not stored on our servers after processing; the readable copy of your book remains on your device. This license is limited to providing the Service to you and ends when you delete the relevant Content or your account, except for residual copies retained only briefly as part of routine backups or as required by law.
No training; no kept derivatives: Bardium does not use your Submissions or your Output to train, develop, fine-tune, or otherwise improve any artificial-intelligence or machine-learning models, whether ours or any third party's. For text analysis (through a provider configured for zero data retention) and music generation (on our own self-hosted models), your content is processed transiently and is not retained by an outside model vendor or used to train models. Ambient image generation uses a third-party provider that may temporarily retain inputs under its own policies; the data sent for that purpose consists only of generalized, AI-written scene descriptions, not your book text or personal information. Beyond delivering your Output to you and storing it in your account so you can access it, Bardium does not retain or keep derivative works created from your Content. Output ownership: Subject to your compliance with these Terms and your payment of any applicable fees, Bardium assigns to you its right, title, and interest in and to Output generated from your Submissions through the Service. However, due to the nature of machine learning, Bardium makes no representation or warranty that any copyright will vest in any Output, and Output may not be unique — the Service may generate the same or similar output for other users. Output requested by and generated for other users is not your Content.
Feedback: Any feedback, suggestions, or ideas you provide about the Service are non-confidential, and Bardium is entitled to unrestricted use of such feedback for any purpose without acknowledgment or compensation. You also authorize Bardium to derive aggregated, de-identified statistical and usage data relating to your use of the Service and to use it in accordance with applicable law and our Privacy Policy. Bardium does not use this usage data to train AI models on your Content.
Bardium respects the intellectual property of others and asks our users to do the same. If you believe content on the Service infringes a copyright you own or control, please send a written notice to our Copyright Agent at [email protected] (Subject: "Copyright Takedown Request"); we will provide a postal address for written correspondence on request. For users in the United States, this procedure also serves as notice under the U.S. Digital Millennium Copyright Act ("DMCA"). To be effective, your notice should include:
Counter-notice and repeat infringers: If you believe your content was removed by mistake or misidentification, you may send a written counter-notice to the Copyright Agent. In accordance with the DMCA and other applicable law, Bardium has adopted a policy of terminating, in appropriate circumstances and at its sole discretion, the accounts of users who are repeat infringers.
The Service may include or link to services, sites, content, and resources provided by third parties (the "Third-Party Services"). Bardium has no control over and is not responsible for Third-Party Services, including their accuracy, availability, or privacy practices. Your use of Third-Party Services may be subject to additional terms and privacy policies, and you are responsible for any costs associated with them. Any dealings you have with third parties through the Service are solely between you and the third party.
To the extent permitted under applicable law, you agree to defend, indemnify, and hold harmless Bardium, its affiliates, and its and their respective officers, employees, directors, service providers, licensors, and agents (collectively, the "Bardium Parties") from any and all losses, damages, expenses (including reasonable attorneys' fees), claims, and actions arising out of or relating to your use of the Service, any Content, your connection to the Service, your violation of these Terms, or your violation of any rights of another, including through your generation or use of any Output. Bardium reserves the right to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with reasonable requests assisting that defense.
YOUR USE OF THE SERVICE AND ANY OUTPUT IS AT YOUR SOLE RISK. THE SERVICE AND ANY OUTPUT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE BARDIUM PARTIES EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
THE BARDIUM PARTIES MAKE NO WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY RESULTS WILL BE ACCURATE OR RELIABLE. YOU ACKNOWLEDGE THAT THE SERVICE USES EXPERIMENTAL TECHNOLOGY AND MAY SOMETIMES PRODUCE INACCURATE OR OFFENSIVE OUTPUT. DUE TO THE NATURE OF MACHINE LEARNING, OUTPUT MAY NOT BE UNIQUE AND THE SERVICE MAY GENERATE THE SAME OR SIMILAR OUTPUT FOR OTHER USERS.
YOU EXPRESSLY UNDERSTAND AND AGREE THAT THE BARDIUM PARTIES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, OR DATA, RESULTING FROM: (A) THE USE OR INABILITY TO USE THE SERVICE OR ANY OUTPUT; (B) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR CONTENT OR DATA; (C) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE; OR (D) ANY OTHER MATTER RELATING TO THE SERVICE. IN NO EVENT WILL THE BARDIUM PARTIES' TOTAL LIABILITY EXCEED THE AMOUNT YOU HAVE PAID BARDIUM IN THE LAST SIX (6) MONTHS, OR, IF GREATER, ONE HUNDRED DOLLARS ($100).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SERVICE OR THESE TERMS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USE OF THE SERVICE.
PLEASE READ THIS SECTION CAREFULLY AS IT AFFECTS YOUR RIGHTS.
Agreement to arbitrate: You agree that any and all disputes or claims that have arisen or may arise between you and Bardium, whether arising out of or relating to these Terms, the Service, or any aspect of the relationship between us, will be resolved exclusively through final and binding arbitration, rather than in court, except that you may assert individual claims in small-claims court if they qualify. You agree that, by entering into these Terms, you and Bardium are each waiving the right to a trial by jury and to participate in a class action.
YOU AND BARDIUM AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY AWARD RELIEF ONLY IN FAVOR OF THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO PROVIDE RELIEF FOR THAT PARTY'S INDIVIDUAL CLAIM(S).
Pre-arbitration dispute resolution: Most concerns can be resolved quickly by emailing [email protected]. If that is unsuccessful, a party intending to seek arbitration must first send the other a written Notice of Dispute describing the claim and the relief sought. The Notice to Bardium should be sent to [email protected] (we will provide a postal address on request). If the dispute is not resolved within sixty (60) days after the Notice is received, either party may commence arbitration. The arbitration will be conducted by a neutral arbitrator under the rules of a recognized arbitration body, and the arbitrator's decision will be enforceable in court.
If a court or arbitrator decides that the prohibition of class and representative actions is invalid or unenforceable, then the entirety of this Arbitration Agreement will be null and void (except for claims for public injunctive relief), and the remainder of these Terms will continue to apply.
Bardium may, in its sole discretion, suspend or terminate your account (or any part of it) or your use of the Service, and remove and discard any of your Content, for any reason — including lack of use or if Bardium believes you have violated these Terms. Any suspected fraudulent, abusive, or illegal activity may be referred to law-enforcement authorities. You agree that any termination may be effected without prior notice, and that Bardium will not be liable to you or any third party for any termination of your access to the Service.
These Terms (together with any terms incorporated by reference) constitute the entire agreement between you and Bardium governing your use of the Service and supersede any prior agreements. These Terms will be governed by the laws of Turkey, without regard to its conflict-of-law provisions. With respect to any disputes not subject to arbitration, you and Bardium submit to the personal and exclusive jurisdiction of the courts located in Turkey.
The failure of Bardium to enforce any right or provision of these Terms will not be a waiver of that right. If any provision is found invalid, the remaining provisions remain in full force and effect. You agree that any claim arising out of or related to the Service or these Terms must be filed within one (1) year after the claim arose or be forever barred. You may not assign these Terms without Bardium's prior written consent, but Bardium may assign or transfer these Terms without restriction. The section titles are for convenience only and have no legal effect.
